Stephenson Harwood advises capiton on a €248 million GP-led secondary transaction

Law firm Stephenson Harwood LLP has advised capiton, a German private equity firm, on a €248 million GP-led secondary transaction, which involved the sale of two high performing portfolio companies, AEMtec and Raith, from capiton's fifth fund to the newly established continuation vehicle 'capiton Quantum'.

The continuation fund will provide AEMtec and Raith, two German industrial technology companies, with additional capital to accelerate their growth. Stephenson Harwood was appointed as lead counsel on this transaction, and managed the entire process, which included drafting and negotiating the continuation fund's terms, the limited partnership and share purchase agreements, and leading on the election process for the existing investors of capiton's fifth fund. Stephenson Harwood previously advised capiton on a secondary transaction relating to the KD Pharma Group in 2019.
